Welcome to Automate Impact (“AutomateImpact.org”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, tools, custom GPTs, dashboards, automation systems, and any consulting or training we provide (collectively, the “Services”).

By using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

1. Who We Serve & What We Provide

Automate Impact is a tech-for-good consultancy and software hybrid specializing in AI-powered automation for nonprofits and mission-driven organizations.

Our Services include:

  • Pre-built AI tools (dashboards, grant GPTs, donor automations, etc.)
  • Custom automation builds
  • Data cleaning and system integration
  • Workflow optimization and consulting
  • Internal GPT setup and training
  • AI enablement and staff training
  • Ongoing support, maintenance, and advisory packages

Some Services require a signed proposal, SOW, or service agreement. When conflicts arise, the SOW or contract terms supersede these Terms.

2. Eligibility

You may use Automate Impact’s Services only if:

  • You are at least 18 years old
  • You are authorized to act on behalf of your organization
  • You agree to these Terms and all applicable laws

We reserve the right to decline service to organizations whose use cases conflict with our mission, values, or ethical guidelines.

3. Client Responsibilities

To ensure accurate and effective automation systems, clients agree to:

3.1 Provide Accurate Information

You must provide complete and accurate documents, data, and instructions required for system builds, integrations, or GPT training.

3.2 Maintain Ownership of Your Data

You confirm you have the legal right to use and share the data you provide, including program files, donor data, HR documents, or financial information.

3.3 Participate in Reviews & Testing

Timely feedback and approval cycles are required to ensure builds function as intended.

3.4 Maintain Internal Data Security

If you choose to integrate with Google Drive, QuickBooks, CRMs, or other tools, you are responsible for managing your internal access permissions.

4. Our Responsibilities

Automate Impact will:

  • Deliver services in a professional and mission-aligned manner
  • Maintain confidentiality of all client data
  • Implement tools using secure and ethical AI practices
  • Provide clear documentation and training when applicable
  • Notify clients of issues that may impact timelines or deliverables

We do not use client data to train external or public AI systems.

5. Data Handling & Privacy

Your data is handled according to our Privacy Policy.

Key commitments:

  • We do not sell, trade, or share your data
  • We do not train public models on client data
  • Access to client files is strictly controlled
  • All automations and GPTs are built inside secure environments
  • Clients may request deletion or export of their data at any time

Custom automations may require temporary access to operational or program data for cleaning, structuring, or integration purposes.

6. AI Tools & Custom GPT Behavior

6.1 Custom GPTs

Internal GPTs built for your organization are trained only on the content you provide (policies, grant files, program data, etc.). You are responsible for reviewing final outputs for accuracy and compliance with funder or regulatory standards.

6.2 Accuracy of AI Outputs

AI tools may generate inaccurate or incomplete content.

You agree:

  • To review all AI-generated materials before external use
  • That Automate Impact is not liable for decisions made based on AI output
  • That final responsibility for reports, grants, budgets, or narratives rests with your organization

AI is a support tool — not a substitute for human judgment.

7. Payments, Billing & Refunds

7.1 Payment Terms

Invoices are due according to the timelines specified in your service proposal or SOW.

7.2 Deposits

Many projects require a non-refundable deposit to reserve project time and begin work.

7.3 Refunds

Due to the custom nature of our work — including automation engineering, data cleaning, and AI training — payments are generally non-refundable.

7.4 Late Payments

Late payments may result in:

  • Paused work
  • Suspension of system access
  • Additional fees as outlined in your SOW

8. Intellectual Property

8.1 Client-Owned Content

You retain ownership of:

  • Your data
  • Your documents
  • Your internal materials
  • Your organizational knowledge used in GPT training

We do not claim ownership of your content.

8.2 Automate Impact-Owned Content

We retain ownership of:

  • Pre-built modules
  • System templates
  • Workflow frameworks
  • Proprietary automation logic
  • Scripts, connectors, integration code
  • Training materials
  • Website content

Custom tools built for you may include elements of our reusable frameworks.

8.3 License to Use Your Data

You grant Automate Impact permission to use your data only for:

  • Delivering contracted services
  • Training internal GPTs you request
  • Building or improving automations designed for your organization

We do not use your data for any other purpose.

9. Confidentiality

We recognize the sensitivity of nonprofit operational and donor data. Automate Impact agrees to keep all client information strictly confidential unless:

  • You authorize sharing
  • It is required for service delivery
  • It is required by law

Mutual Non-Disclosure Agreements (NDAs) are available upon request.

10. Third-Party Tools & Integrations

Our services may involve third-party platforms (e.g., OpenAI, Google Workspace, QuickBooks, Airtable, n8n, Make, etc.).

By using these integrations:

  • You agree to their respective terms and policies
  • You acknowledge that Automate Impact is not responsible for third-party outages or security incidents
  • You authorize Automate Impact to configure these tools solely for service delivery

We only connect systems with your explicit permission.

11. Service Modifications

We may update or modify our website or Services at any time, including:

  • Pricing
  • Feature availability
  • Integration options
  • Support tiers

Major changes will be communicated to active clients.

12. Limitation of Liability

To the maximum extent permitted by law, Automate Impact is not liable for:

  • Losses resulting from AI-generated content
  • Data inaccuracies provided by the client
  • Incorrect funder submissions caused by unreviewed AI output
  • Third-party system failures or outages
  • Delays caused by incomplete client data
  • Indirect, incidental, or consequential damages

Your organization retains responsibility for reviewing and approving all materials used for funders, donors, board reporting, or compliance.

13. Termination of Services

Either party may terminate services:

  • Through notice according to the SOW
  • For breach of terms
  • If required by law

Upon termination:

  • Access tokens and system connections may be revoked
  • Deliverables completed to date may be transferred
  • Client data may be deleted upon request

Deposits or paid fees are non-refundable unless otherwise stated in your contract.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms to reflect legal, operational, or service changes. Updates will be posted with a revised “Last Updated” date.
